AiMS Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website, software, and services provided by AiMS (“AiMS,” “we,” “us,” or “our”), including any related mobile, email, and SMS programs (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Accounts
1.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Services.
1.2 Account Registration
To access certain features, you may be required to create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
1.3 Account Security
You agree to promptly notify us of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
2. Description of the Services
2.1 AiMS Platform
AiMS provides AI-powered marketing and automation tools, including but not limited to:
Lead capture and CRM features
Email and campaign management
Content, funnel, and automation workflows
Reporting, analytics, and optimization tools
Optional SMS and text messaging features
We may update, enhance, or modify the Services at any time, including adding or removing features.
2.2 Third-Party Infrastructure
We may use third-party service providers and underlying platforms (for example, hosting, CRM, messaging, and analytics providers) to deliver the Services. Those providers do not have a direct contractual relationship with you under these Terms.
3. Subscriptions, Fees, and Payment
3.1 Fees
Access to certain features of the Services may require payment of subscription or usage-based fees, as described at the time of purchase or enrollment.
3.2 Billing and Auto-Renewal
Unless otherwise stated, subscriptions are billed in advance on a recurring basis (for example, monthly or annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
3.3 Cancellations
You may cancel your subscription at any time by using the account settings or contacting us. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Services until then.
3.4 Refunds
Except where required by law or expressly stated otherwise at the time of purchase, all fees are non-refundable. It is your responsibility to cancel before renewal if you do not wish to continue.
3.5 Taxes
You are responsible for any applicable taxes, duties, or similar governmental assessments associated with your purchases.
4. Acceptable Use
4.1 Your Responsibilities
You agree not to use the Services to:
Violate any applicable law or regulation
Infringe or misappropriate any third-party rights
Send spam, unlawful, misleading, or deceptive content
Upload or transmit viruses, malware, or harmful code
Attempt to gain unauthorized access to the Services or related systems
Interfere with or disrupt the operation of the Services
4.2 Your Content and Campaigns
You are solely responsible for:
The content you create, upload, send, or publish using the Services
Your compliance with applicable laws, including privacy, marketing, advertising, and consumer protection laws
The configuration of your campaigns, funnels, automations, and contact lists
We do not guarantee compliance of your specific use cases and campaigns. You should seek independent legal advice where needed.
5. Intellectual Property
5.1 Ownership
All rights, title, and interest in and to the Services (including software, user interfaces, templates, branding, and documentation) are owned by AiMS or our licensors. The Services are protected by copyright, trademark, and other laws.
5.2 License to You
Subject to your compliance with these Terms, AiMS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
5.3 Your Content
You retain ownership of content you input into the Services. You grant AiMS a limited, non-exclusive, royalty-free license to host, process, display, and use your content solely as necessary to provide the Services to you.
6. Third-Party Services and Integrations
The Services may integrate or interact with third-party tools, platforms, or services (for example, social networks, ad platforms, or analytics providers).
Your use of third-party services is governed by their respective terms and policies.
AiMS is not responsible for the content, availability, or performance of third-party services.
We may add, change, or remove integrations at any time.
7. Communications and SMS / Text Messaging
7.1 General Communications
By using the Services or providing contact information, you agree that we may send you service-related communications (for example, account notices, system alerts, and transactional messages) by email or other channels.
You may also choose to receive marketing or educational communications. You can opt out of marketing emails by using the unsubscribe link in any such message.
7.2 SMS and Text Messaging Programs
If you opt in to receive SMS or text messages from AiMS (for example, on a website form or during account setup):
You consent to receive recurring messages related to marketing, education, reminders, and/or service updates at the mobile number you provide.
Message frequency may vary based on your enrollment, preferences, and interactions.
Opt-Out:
You can cancel SMS at any time by replying STOP to any message. After you send STOP, we will send a confirmation message and will not send further SMS messages to that number, unless you opt in again.

Message & Data Rates:
Message and data rates may apply to messages sent to you from us and to us from you. For questions about your text or data plan, contact your wireless carrier. Carriers are not liable for delayed or undelivered messages.
7.3 SMS Data and Privacy
Your use of the SMS features is also governed by our Privacy Policy. We do not sell or share text messaging originator opt-in data and consent with third parties for their own marketing or promotional purposes. We may share SMS data only with service providers who support the technical delivery of our messages (for example, SMS platforms, aggregators, and carriers).
8. Privacy and Data Protection
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.
By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.
If you use the Services to process personal information of your own customers or contacts, you are responsible for providing appropriate notices and obtaining any required consents from those individuals, and for complying with applicable data protection laws.
9. Disclaimers
To the maximum extent permitted by law:
The Services are provided on an “as is” and “as available” basis.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.
We make no guarantees regarding specific results, revenue, or outcomes from using the Services. Your use of the Services is at your own risk.
Any guidance, templates, or recommendations provided through the Services (including AI-generated content) are for informational purposes only and do not constitute legal, financial, or professional advice.
10. Limitation of Liability
To the maximum extent permitted by law:
AiMS and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, or loss of data, arising out of or relating to your use of the Services.
Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to AiMS for the Services in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless AiMS and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services
Your content, campaigns, or communications
Your violation of these Terms or any applicable law
Your infringement of any third-party rights
12. Term and Termination
12.1 Term
These Terms remain in effect while you access or use the Services.
12.2 Termination by You
You may stop using the Services at any time and may cancel any subscription as described in Section 3.
12.3 Termination or Suspension by AiMS
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe:
You have violated these Terms or applicable law
Your use creates risk or potential harm to us, the Services, or other users
We are required to do so by law or a regulatory authority
Upon termination, your right to use the Services will cease, but sections that by their nature should survive (including, without limitation, Sections 3, 5, 8–11, and 13–14) will remain in effect.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Indiana, without regard to its conflict of laws principles, unless another law is required to apply by applicable statute.
Any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Indiana, and you consent to the personal jurisdiction of such courts.
14. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If changes are material, we may also provide additional notice (for example, by email or an in-app notification).
Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes.
